Customer Alliance, Berlin, is the leading provider of hotel assessment and trip advisory data in Germany. CA runs a customer feedback platform enabling hotels to publish independent ratings. Rasenberger Toschek acts as advisor to CA in its largest financing round so far.

Slotty AG, Berlin, is a software development and services company that specialises in logistics solutions for retail organisations. Summerwind SA of Luxembourg, a private investment group, acquires a stake in Slotty AG. RT acts as financial advisor to Summerwind SA.

Venali, Inc., a Miami-based provider of enterprise Internet fax messaging solutions is acquired by j2 Global Communications, Inc. (Nasdaq:JCOM), the provider of outsourced, value-added messaging and communication services. The purchase price is approximately $17 million. Throughout the investment cycle (from the acquisition in 2006 to the sale in 2010) RT has acted as the advisor to the majority owner of Venali Inc.

July 2010: IP Sale and Venture Restart – Smart Metering Technology Company

The IP and the core assets of a leading technology company in the area of smart metering are sold to a large Engineering and Plant Infrastructure and Group. Upon request of the investors in the technology company Rasenberger Toschek takes over the its management of the Sales Process.

January 2010: Investment Round and Venture Restart - ERP Software House

The core assets of a young but failing Ecommerce and ERP Software Provider are acquired by a newly formed entity. A venture restart is performed, including the recapitalisation of the company and the resumption of software development until, after 6 months, the company is handed over to a newly formed management team. Rasenberger Toschek acts as adviser on behalf of the investors and performs the full restart of the entity.

2009: M&A Vendor Assist to a supplier of the automotive industry

The client is a 1st tier and single source supplier for large OEMs with major operations in Germany and Lithuania. RT first advises the client on its restructuring process and then structures and executes its search for an investor through a non-public selling process.

 

McZahn, the pioneer of discount dental care was acquired by its largest competitor, Dr. Z.
Rasenberger Toschek AG was entrusted with the  M&A advisory mandate by Dr. Z.

With 400 on site service workers coordinated by over 20 area managers, HePa is the leading wholesale- and industry agent in Southern Germany´s non-food market. HePa sees itself as the face and voice of its clients´ brands and as their gateway to all kinds of retail markets in Germany. HePa reaches ca. EUR 55 million agency turnover; among its clients are famous producers such as Uhu, Brita, Eika and Varta. HePa is set to expand its strong market position and open up new markets during the next years.

EIKA is Germany´s most famous candle producer since 1824 and one of the most recognized brands in the international candle market. After Eika filed insolvency in January 2008, Rasenberger Toschek AG presented the most comprehensive restructuring concept of all bidders and acquired the entirety of assets in early May 2008. Since then a broad variety of measures aiming at strengthening the German production site in Fulda and further anchoring the Eika brand in the premium segment have been initiated. The substantial investments in machinery, workforce and marketing are already paying off.
